Terms and Conditions

Welcome to NeuroMind Academy. These Terms and Conditions outline the terms and conditions applicable to the access to and use of the online courses and podcasts on continuing medical education (hereinafter: “CME”) provided for by NeuroMind Academy. By accessing and using our Services, User accepts these Terms and Conditions (hereinafter: “T&C”) in full.

1. Definitions

In addition to the terms defined elsewhere in this T&C the following terms, whether used herein in the singular or the plural, shall have the following respective meanings:
“Intellectual Property Rights" shall mean intellectual property including but not limited to, know how, trade secrets, methods, standard operating procedures, designs, recipes, raw materials information, patents, trademark’s (or any other registered rights) in relation to the online courses and podcasts on continuing medical education (CME) ;
“Improvement” shall mean any and all adjustments, improvements, developments, new components, modifications and adaptations to any part of the Intellectual Property Rights. Any Improvements shall be the property of NeuroMind Academy;
“NeuroMind Academy” is a tradename of DecisiX B.V., the party who is responsible for generating and making CME available;
“Third Party” shall mean any person, entity or party other than NeuroMind Academy and User;
“User” shall mean any person who designs simulation protocols, utilizes prebuilt models or creates new ones within the CircAdapt Framework.
“You” shall mean User.

2. User account

To access CME and / or Intellectual Property Rights, User is required to create an account. User shall provide accurate and complete information and to keep this information up to date. User responsible for maintaining the confidentiality of its account and password.

Payments and Refunds
All payments for CME and / or License(s) must be made through the designated payment methods. In principle, no refunds are provided. This applies to all fees, including but not limited to tuition, course materials, and any other related expenses.

3. Intellectual Property Rights

NeuroMind Academy has exclusive rights to the intellectual property rights for all content, including but not limited to online courses, podcasts and other texts and / or presentations, on the website of NeuroMind Academy and within our online courses and podcasts. All intellectual property rights are reserved. Access to these Intellectual Property Rights are subject to the rights and restrictions set out in these T&C.

4. AI involvement 

In the development of the Intellectual Property Rights, a generative pre-trained transformer (OpenAI GPT version 4 turbo) has been utilized for text optimization, more specifically for the creation of summary texts of selected PubMed literature. OpenAI GPT version 4 turbo has expressly not been involved in the selection of the relevant literature or the creation of the medical-scientific content for this course. The quality and accuracy of the generated summaries by OpenAI GPT version 4 turbo has been closely monitored to ensure an adequate level of educational content.

5. License

NeuroMind Academy grants to User a free, revocable, non-exclusive, non-transferable, non-sublicensable, license (hereinafter: License) to use the Intellectual Property Rights for educational and non-commercial purposes. NeuroMind Academy has and retains the rights to practice the Intellectual Property Rights for any and all commercial, research and development, education and scientific publication purposes. NeuroMind Academy can modify or discontinue CME at any time without notice.

License restrictions

User shall not at any time, directly or indirectly: (i) copy, modify, or create derivative works of the Intellectual Property Rights, in whole or in part; (ii) distribute or sell the Intellectual Property Rights or Improvements; (iii) remove any proprietary notices from the Intellectual Property Rights; or (vi) use the Intellectual Property Rights in any manner or for any purpose that infringes, misappropriates, damages, disables, overburdens, or impairs or otherwise violates any intellectual property right or other right of any person, or interfere with any other party's use and enjoyment of the Licensed Intellectual Property Rights, or that violates any applicable law; or (v) reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to the source code of the Intellectual Property Rights, in whole or in part.
Granted License(s) do not imply that User has the right to use the name of NeuroMind Academy or link to the website or CME of NeuroMind Academy without prior written permission of NeuroMind Academy.

6. Disclaimer of warranty

The License is provided without any warranty of merchantability or fitness for a particular purpose, warranty as to enforceability or scope of any Intellectual Property right, warranty as to availability, or any other warranty, express or implied.
NeuroMind Academy makes no representation or warranty that User’s activities under the License will not infringe any proprietary right of a Third Party. NeuroMind Academy will not be liable for such infringement, or an allegation thereof, nor shall the same be an excuse for non-performance of User’s obligations hereunder.

NeuroMind Academy assumes no responsibilities or liabilities towards User or Third Parties with respect to the (non-)availability and / or use of the Intellectual Property Rights. The entire risk of the use of the Intellectual Property rights is assumed by User.

7. IP Protection

User represents and warrants that it will not reproduce, disclose or use Intellectual Property Rights for any purpose, or in any manner, other than in the performance of its rights, duties and obligations under this T&C. User will safeguard the Intellectual Property Rights and its related materials with that degree of normal due care commensurate with reasonable standards of industrial security for the protection of trade secrets and proprietary information so that no unauthorized use is made of them. If User either (i) reasonably believes that a Third Party is infringing any of the Intellectual Property Rights or (ii) learns of any infringement of the Intellectual Property Rights by a Third Party, User shall promptly notify NeuroMind Academy. NeuroMind Academy shall decide whether or not to take legal measures against an infringer.    

8. Liability

In no event shall NeuroMind Academy be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use of the Intellectual Property, even if NeuroMind Academy has been notified orally or in writing of the possibility of such damage. User agrees to indemnify, hold harmless and defend NeuroMind Academy, UM, azM, their officers, directors, employees, contractors, OpenAI, and agents from and against any and all liability, claims, suits, injuries, actions, demands, prosecutions, losses, damage, costs, fees, and expenses arising out the exercise of the License. This indemnification will include, but not be limited to, any product liability. In no event will NeuroMind Academy, UM, azM be liable for any incidental, special or consequential damages resulting from the exercise of the Intellectual Property Rights. The provisions of this Clause 8 shall survive expiration or termination of the License.

While NeuroMind Academy strives to maintain accreditation for its courses, it does not guarantee the continued accreditation of any CME. Accreditation status may change at any time due to factors beyond the control of NeuroMind Academy. In the event that the accreditation of a CME is revoked by the accrediting body, NeuroMind Academy shall not be liable for any reimbursement, refund, or compensation to Users. This includes, but is not limited to, tuition fees, course materials, and any other related expenses.

9. Term and termination

The License between NeuroMind Academy and User and / or the License may be terminated by NeuroMind Academy, at any time, with or without cause, immediately, by NeuroMind Academy.
User cannot terminate the License other than mandatory by law.
Upon termination, User must cease all use of the Intellectual Property and destroy any and all copies of the Intellectual Property in its possession or control.

10. Notices

All notices, requests, demands, and other communications (collectively, "Notices") required or permitted under these Terms and Conditions shall be in writing. NeuroMind Academy can be contacted at:

Notices by e-mail shall be deemed received, three (3) days after the email is sent, provided that no bounce-back or undeliverable message is received; or
- Notices by postal services shall be deemed received on the date the courier service delivery is confirmed.

11. Compliance with applicable laws 

User shall comply with all applicable laws. Nothing in these T&C shall be construed so as to require the violation of any law, and wherever there is any conflict between any provision of this T&C and any law, the law shall prevail, but in such event the affected provision of these T&C shall be affected only to the extent necessary to bring it within the applicable law.

12. Choice of law and jurisdiction

These T&C is subject to and shall be interpreted, construed and enforced in accordance with the laws of The Netherlands with the exception of its conflict of law principles. Any action on any dispute arising out of the legal relationship between parties shall be submitted to court competent for the municipality of Maastricht, The Netherlands, and the parties consent to the jurisdiction of such court.

13. Privacy

Your privacy matters to NeuroMind Academy. Please review our Privacy Policy (neuromind.academy/privacy) to understand how we collect, use and protect your personal data.  

14. Modifications to Terms and Conditions

NeuroMind Academy reserves the right to revise these T&C at any time. Changes will be posted on our website, and your continued use of our Services implies acceptance of the updated terms.
